Information on our website is general in nature and may change without notice. While we aim to keep information accurate and up to date, website content may not always reflect the latest services, pricing, availability, inclusions, or exclusions. Nothing on the website is legal, financial, compliance, cybersecurity, privacy, or professional advice. You should obtain tailored advice before making business, technical, security, compliance, or legal decisions.
1.4. Accounts, Access and Credentials
Some parts of our website, customer portals, service portals, or brand pages may require you to create an account or receive access credentials. You agree that all information you provide is accurate, complete, and current.
You are responsible for:
- keeping login details confidential;

- ensuring only authorised users access your account;
- all activity that occurs under your account;
- notifying us promptly if you suspect unauthorised access or misuse.
We may suspend, restrict, or terminate access to any account, portal, system, or service if we reasonably believe there is a security risk, misuse, breach of these Terms, non-payment, unauthorised access, unlawful activity, or other risk. Where reasonable, we will try to provide notice before taking action. However, we may act immediately where urgent action is required.
1.5. Service Availability and Locations
Our services are offered in New South Wales, Australia. ARLI GEEKS may choose to offer services in other Australian states and territories, and in other countries.
Service availability may depend on:
- location;
- staff availability;
- technical feasibility;
- legal and regulatory requirements;
- local licensing requirements;
- vendor availability;
- safety requirements;
- customer suitability;
- operational capacity;
- service type.
We may refuse, restrict, modify, or decline services in locations where we cannot reasonably provide the service, comply with applicable requirements, or manage the risk involved. For services outside Australia, additional country-specific, state-specific, or region-specific terms may apply. Mandatory local laws that cannot be excluded will continue to apply where required.
1.6. Customer Responsibilities
The customer is responsible for providing accurate, complete, and timely information about their systems, environment, requirements, risks, users, devices, networks, software, licences, vendors, and services. The customer must provide the access, approvals, contacts, credentials, site access, power, internet connection, administrator access, vendor details, licence information, network diagrams, cabling records, and third-party approvals reasonably required for ARLI GEEKS to deliver the services. The customer is responsible for maintaining its own business records, passwords, licences, warranties, compliance obligations, vendor agreements, backups, documentation, and data unless those items are specifically included in an approved service plan or separately quoted service. ARLI GEEKS is not responsible for delays, incomplete service, degraded performance, unresolved issues, or additional costs caused by missing access, incorrect information, unavailable systems, unsafe site conditions, third-party issues, provider delays, customer-side delays, or environmental conditions outside our reasonable control.
1.7. Customer Authority
The customer confirms that they have the authority to request services, provide access, approve work, approve charges, provide credentials, and allow ARLI GEEKS to work on the relevant systems, devices, networks, accounts, data, software, and services. The customer is responsible for ensuring that all required internal approvals, landlord approvals, vendor permissions, carrier approvals, data access permissions, privacy approvals, and legal rights are in place before work begins. ARLI GEEKS may refuse or stop work if we believe the customer does not have authority to request the work or provide access.
1.8. Customer Content and Acceptable Use
The customer is responsible for all content, data, material, instructions, files, images, text, website content, marketing content, product information, prompts, automation instructions, and other material provided to ARLI GEEKS or published through any service. The customer must not provide, upload, request, publish, distribute, or use any content or service in a way that is unlawful, misleading, defamatory, abusive, discriminatory, infringing, harmful, fraudulent, spam-related, or in breach of any third-party rights, platform rules, advertising rules, privacy laws, or applicable regulations. ARLI GEEKS may refuse, remove, suspend, or stop work involving content, instructions, automation, campaigns, websites, applications, or systems that we reasonably believe may create legal, security, reputational, operational, platform, or compliance risk. The customer is responsible for ensuring they have all rights, licences, permissions, consents, approvals, and legal authority required to use any content, data, images, branding, trademarks, software, accounts, domains, platforms, or third-party services supplied to ARLI GEEKS.
1.9. Backups and Data
The customer is responsible for ensuring important data is backed up before work begins, unless backup services are expressly included in the approved scope of work. Technology services may involve changes to systems, accounts, devices, networks, cloud services, applications, configurations, data, or security settings. While ARLI GEEKS will use reasonable care and skill, technology work may involve risk, including downtime, configuration issues, compatibility issues, vendor issues, service interruptions, or data issues. ARLI GEEKS is not responsible for data loss, corruption, or recovery costs except to the extent caused by our proven negligence and only to the extent permitted by law.
1.10. Data Retention and Deletion
ARLI GEEKS may retain service records, tickets, invoices, project documents, configuration notes, communication records, approvals, logs, and related business records for operational, legal, accounting, compliance, security, dispute management, and service history purposes. Where practical, ARLI GEEKS will delete, return, anonymise, or restrict customer data when it is no longer reasonably required, subject to legal, accounting, compliance, backup, security, and legitimate business record requirements. The customer may request deletion or return of certain data, and ARLI GEEKS will assess the request in accordance with applicable laws, contractual obligations, technical feasibility, and legitimate business requirements. ARLI GEEKS is not responsible for retaining customer data as a backup or archive unless backup, retention, or data management services are expressly included in an approved service plan or written agreement.
1.11. Third-Party Products and Services
Services may depend on third-party products or services, including hardware vendors, software vendors, cloud providers, internet providers, carriers, hosting providers, licence providers, cybersecurity vendors, application providers, payment processors, telecommunications providers, and cabling contractors. ARLI GEEKS is not responsible for third-party outages, delays, defects, vendor restrictions, licence limitations, price changes, support delays, performance issues, product changes, cancellation terms, renewal terms, or service limitations. Third-party products and services are subject to their own terms, licences, warranties, support conditions, privacy terms, and subscription rules. The customer is responsible for complying with third-party terms and paying third-party fees unless otherwise agreed in writing.
1.12. Privacy and Data Protection
ARLI GEEKS takes privacy and data protection seriously. Our collection, use, storage, disclosure, and handling of personal information is described in our Privacy Policy. By using our website or services, you acknowledge that personal information may be handled in accordance with our Privacy Policy, as updated from time to time. Where ARLI GEEKS processes personal information on behalf of a customer as part of providing managed services, project work, support, or other services, ARLI GEEKS will process that information for the purpose of delivering the agreed services and in accordance with applicable privacy laws and any written agreement with the customer. The customer is responsible for ensuring they have the right to provide personal information, business data, customer data, employee data, account access, or system access to ARLI GEEKS.
1.13. International Privacy and Data Compliance
ARLI GEEKS may expand services beyond Australia over time. Where applicable, ARLI GEEKS may update these Terms, the Privacy Policy, service agreements, and data processing terms to address local privacy, data protection, and compliance requirements. If the GDPR, UK GDPR, or similar privacy laws apply to a service, the parties may need to agree to additional data processing terms, including controller/processor roles, processing instructions, security measures, subprocessors, data subject rights assistance, breach notification, audit support, and international transfer mechanisms. If ARLI GEEKS processes personal information from the European Economic Area, United Kingdom, or another regulated jurisdiction, cross-border transfer mechanisms may be required, such as standard contractual clauses or another lawful transfer mechanism. ARLI GEEKS does not guarantee that the customer’s business, systems, data handling, or operations comply with GDPR, UK GDPR, Australian privacy law, HIPAA, PCI DSS, or any other law or standard unless compliance work is expressly included in an approved written scope of work. The customer remains responsible for its own regulatory compliance, compliance decisions, policies, notices, consents, lawful bases, risk assessments, records, and business obligations unless expressly agreed otherwise in writing.
1.14. HIPAA and Health Information
If ARLI GEEKS provides services to a United States healthcare provider, health plan, healthcare clearinghouse, business associate, or other organisation subject to HIPAA, and the services require ARLI GEEKS to create, receive, maintain, or transmit protected health information, a separate written Business Associate Agreement may be required before ARLI GEEKS handles such information. ARLI GEEKS does not agree to act as a HIPAA business associate unless this is expressly agreed in a signed Business Associate Agreement. The customer must notify ARLI GEEKS before providing any protected health information or requesting services that may involve protected health information. If HIPAA applies, the customer remains responsible for determining its own HIPAA obligations and ensuring that all required agreements, safeguards, notices, consents, policies, and procedures are in place.
1.15. PCI DSS and Payment Data
ARLI GEEKS may use third-party payment processors to process card payments. Customers must not send full card numbers, CVV codes, or sensitive payment authentication data to ARLI GEEKS by email, chat, support ticket, text message, or other insecure method. Where card payments are accepted, ARLI GEEKS aims to use payment processes that reduce direct handling of cardholder data. If a customer’s environment requires PCI DSS-related work, the customer remains responsible for its own PCI DSS compliance unless a PCI-specific assessment, remediation, or compliance service is expressly included in an approved written scope of work. ARLI GEEKS does not guarantee PCI DSS compliance for the customer’s systems, network, payment environment, business processes, vendors, or staff unless expressly agreed in writing.
1.16. Confidentiality
Each party must keep confidential information received from the other party confidential and must not disclose it except where required to deliver the services, comply with law, obtain professional advice, use approved third-party providers, or as otherwise agreed in writing. Confidential information may include business information, pricing, technical information, system details, security information, credentials, project documents, customer data, and service records. This obligation does not apply to information that is public, already known, independently developed, or lawfully received from another source without confidentiality restrictions.
1.17. Intellectual Property
Unless we state otherwise, ARLI GEEKS owns or licenses all intellectual property rights in the ARLI GEEKS name, related brand names, logos, website design, text, graphics, software, templates, processes, tools, documentation formats, scripts, methods, and other content. We grant you a limited, non-exclusive, revocable licence to access and use the website for your internal business or personal purposes in accordance with these Terms. You must not reproduce, distribute, modify, adapt, publish, display, create derivative works from, or commercially exploit any part of the website or its content without our prior written consent. If you provide feedback or suggestions about our services, you agree that we may use that feedback without restriction and without compensation. To the extent you provide content or data for us to host, access, configure, or process in order to deliver services, you grant us a non-exclusive, royalty-free licence to use, access, reproduce, modify, and process that content solely for the purpose of providing the services. Unless otherwise agreed in writing, ARLI GEEKS retains ownership of its pre-existing tools, templates, scripts, know-how, processes, and intellectual property.
1.18. Australian Consumer Law and Non-Excludable Rights
Nothing in these Terms excludes, restricts, or modifies any rights, remedies, guarantees, warranties, or protections that cannot lawfully be excluded, restricted, or modified under the Australian Consumer Law or other applicable laws. Where our liability cannot be excluded by law, and where it is lawful to do so, our liability may be limited to re-supplying the relevant services or paying the cost of having the services supplied again.
1.19. Disclaimers and Limitation of Liability
To the maximum extent permitted by law, the website and services are provided on an as-is and as-available basis. We do not guarantee that the website or services will be uninterrupted, secure, error-free, or suitable for every purpose. We are not responsible for delays, failures, interruptions, or loss arising from networks, infrastructure, vendors, third-party services, customer systems, customer access issues, or other factors outside our reasonable control. To the extent permitted by law, we exclude all warranties, guarantees, and representations that are not expressly set out in these Terms or in a specific written agreement. To the maximum extent permitted by law, ARLI GEEKS is not liable for indirect, incidental, special, consequential, economic, or business loss, including loss of profit, revenue, goodwill, reputation, business opportunity, data, or business interruption. For paid services, where our liability cannot be excluded and where it is lawful to limit liability, our total aggregate liability is limited to the fees paid by the customer for the services giving rise to the claim during the 12 months before the event giving rise to the liability.
1.20. Force Majeure and Events Outside Our Control
ARLI GEEKS is not responsible for delay, non-performance, service interruption, or failure to perform caused by events outside our reasonable control. This may include natural disasters, power outages, internet outages, telecommunications failures, cyber incidents, vendor outages, supply chain issues, strikes, government action, war, civil unrest, pandemic, emergency events, transport disruption, building access issues, or other events beyond our reasonable control.
1.21. Disputes
If a dispute arises, both parties agree to first attempt to resolve the dispute in good faith through discussion between appropriate decision-makers. The customer must notify ARLI GEEKS of any service issue as soon as reasonably possible and provide enough detail for the issue to be reviewed. If the dispute cannot be resolved within a reasonable period, either party may propose non-binding mediation in New South Wales before starting court proceedings, except where urgent legal relief is required.
1.22. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Subject to any mandatory laws that apply in another jurisdiction, the parties submit to the courts and tribunals of New South Wales, Australia, and courts that hear appeals from them. Where services are provided outside Australia, mandatory local laws may apply and may override parts of these Terms to the extent required by law.
1.23. Changes to These Terms
ARLI GEEKS may update these Terms from time to time. The version that applies to a service is generally the version published or provided at the time the service is booked, ordered, approved, renewed, or used, unless otherwise required by law or agreed in writing. If we make material changes to these Terms that affect ongoing subscriptions or managed services, we will take reasonable steps to notify affected customers where practical. Continued use of the website, services, subscriptions, or customer portals after changes take effect means you accept the updated Terms.
1.24. Agreement Terms
These Terms may be varied, replaced, or overridden by a signed quote, proposal, service agreement, managed services agreement, project agreement, data processing agreement, business associate agreement, or other written agreement between ARLI GEEKS and the customer. If there is any inconsistency between these Terms and a signed agreement, the signed agreement will apply to the extent of that inconsistency.
2. General Service Terms
2.1. On-Demand Services
ARLI GEEKS may provide on-demand services through its brands. On-demand services are used for individual support requests, troubleshooting, fault investigation, setup tasks, onsite work, remote assistance, or ad hoc technical support.
On-demand services may include:
- RemoteFix-Quick;
- RemoteFix;
- OnsiteFix;
- service blocks;
- technical troubleshooting;
- service triage;
- follow-up support;
- approved additional work.
Unless otherwise stated or agreed, on-demand support requests may start with RemoteFix-Quick. RemoteFix-Quick is a paid initial triage service used to understand the issue, perform basic checks, begin troubleshooting, and determine whether the issue can be resolved within the RemoteFix-Quick timeframe or whether another service is required. If another service is required, ARLI GEEKS will advise the customer before proceeding where practical.
2.2. RemoteFix Services
RemoteFix services are provided remotely where practical. RemoteFix-Quick must be paid upfront before the service begins. If another RemoteFix service is required after the initial triage, the RemoteFix-Quick fee may be credited towards the final payable labour fee for the selected RemoteFix service, where applicable. Any remaining balance may be charged to the credit card or payment method on file. If ARLI GEEKS determines during RemoteFix-Quick that another RemoteFix service is required and the customer does not wish to proceed, the additional RemoteFix service may be cancelled before work on that additional service begins. If the customer decides not to proceed after additional work has started, the customer remains responsible for the applicable service fees. This includes the RemoteFix-Quick fee and any fee for the additional RemoteFix service that has already commenced. If work has started on a higher RemoteFix service, the final fee may be calculated on a pro-rata basis based on the actual time spent and the applicable service duration shown in the relevant pricing table. If a RemoteFix service cannot reasonably be completed remotely, ARLI GEEKS may recommend converting the service to an OnsiteFix service. The RemoteFix-Quick fee remains payable as the initial triage fee. Any amount paid for another approved RemoteFix service may be credited towards the final payable amount for the OnsiteFix service, where applicable.
2.3. OnsiteFix Services
OnsiteFix services are provided where physical attendance is required or recommended.
OnsiteFix may be required for:
- physical device issues;
- onsite network access;
- cabling inspection;
- rack access;
- wireless assessment;
- IP telephony checks;
- hardware faults;
- onsite troubleshooting;
- work that cannot reasonably be completed remotely.
OnsiteFix services are subject to staff availability, location, booking confirmation, site access, safety requirements, and service suitability. An upfront payment may be required before the onsite visit is confirmed. The final OnsiteFix cost may be calculated at the end of the service based on the selected service type, actual time required, approved additional work, parts, software, licences, third-party costs, onsite materials, travel-related costs, or other approved charges. If the customer cancels, reschedules, or is unavailable after ARLI GEEKS staff have been assigned, scheduled, dispatched, or have attended the location, ARLI GEEKS may charge for time spent, travel, booking allocation, onsite attendance, or approved costs already incurred.
2.4. Managed Services
ARLI GEEKS may provide managed services through its brands. Managed services are monthly services for approved users, devices, systems, networks, platforms, or services included in the selected plan. Managed services may include monitoring, maintenance, support, reviews, reporting, service meetings, backup-related services, security-related inclusions, patch review, device health checks, network health checks, and discounted on-demand services, depending on the selected plan. Managed services only apply to the approved users, devices, systems, sites, services, or items covered under the selected plan, quote, or service agreement. Managed services do not include non-covered items unless expressly stated in the approved plan, quote, or agreement.
2.5. Right to Refuse, Suspend, Restrict or Cancel Services
ARLI GEEKS reserves the right to refuse, suspend, restrict, cancel, or discontinue any service, order, booking, subscription, project, quote, or engagement at its discretion, including where required by law, regulation, compliance obligation, safety requirement, business policy, operational capacity, service suitability, technical feasibility, payment status, customer conduct, or risk assessment. We may also refuse, suspend, restrict, cancel, or discontinue services where continuing the service may create legal, security, safety, reputational, commercial, technical, operational, or business risk.
Where practical, we will notify the customer before suspending or cancelling a service. However, we may act immediately where urgent action is required, including for non-payment, failed payment, suspected misuse, unlawful activity, abusive behaviour, unsafe conditions, unauthorised access, security risk, or circumstances outside our reasonable control. To the extent permitted by law, ARLI GEEKS is not responsible for any loss, delay, interruption, downtime, business impact, data loss, missed support, security exposure, or other damage resulting from a service being refused, suspended, restricted, cancelled, or discontinued in accordance with these Terms. Any outstanding fees, approved charges, hardware, software, licences, subscriptions, third-party costs, onsite charges, project work, or other amounts incurred before suspension or cancellation remain payable by the customer.
2.6. Response Times and Estimates
Any response times listed for managed services, RemoteFix, OnsiteFix, project work, or other services are target response times only and do not guarantee resolution time. Any estimated resolution time, service duration, service recommendation, or fee provided during triage or service delivery is based on the information available at that time. The required service, service duration, resolution time, and applicable fees may change if ARLI GEEKS identifies additional issues, risks, access problems, software faults, hardware faults, cabling faults, wireless limitations, ISP or carrier problems, firmware issues, vendor restrictions, third-party dependencies, security concerns, or other conditions during the service. If the required service changes, ARLI GEEKS will advise the customer where practical. If the customer agrees to proceed, the customer remains responsible for paying the applicable service fees and approved charges. Some issues may depend on third-party providers, vendors, internet providers, carriers, software vendors, hardware vendors, building conditions, user availability, power, cabling, or external systems outside ARLI GEEKS’ reasonable control. ARLI GEEKS is not responsible for delays, faults, service interruptions, incomplete work, degraded performance, or other issues caused by circumstances outside its reasonable control. Project dates and timeframes are estimates only unless a specific delivery deadline is clearly agreed in writing. Project timelines may change due to customer delays, third-party delays, vendor delays, supply delays, access issues, technical issues, scope changes, unavailable information, unavailable approvals, or circumstances outside ARLI GEEKS’ reasonable control.
2.7. Service Exclusions
Unless quoted separately or included in a selected service plan, services do not include:
- hardware;
- software;
- licences;
- subscriptions;
- parts;
- accessories;
- replacement equipment;
- new computer setup;
- migrations;

- construction work;
- internet provider work;

- third-party vendor fees;
- specialised data recovery;
- server backup;
- NAS backup;
- large data backup;
- after-hours support;
- support for non-covered users, devices, systems, sites, network equipment, IP phones, or services.
Services are limited to the items included in the selected service plan, approved quote, service agreement, project agreement, or these Terms. Structured cabling work may require licensed cablers or approved third-party contractors and will be quoted separately where required.
2.8. Service Boundaries Between Brands
ARLI GEEKS may allocate work to the most suitable brand or specialist service area.

Other cloud infrastructure services are generally delivered through Cloudixite unless expressly included in another service plan or quote. Guardixite is responsible for cybersecurity-related services, including firewall management, firewall security policies, IPS, IDS, threat protection, endpoint security, email security, identity and access security, VPN and remote access security, security hardening, security assessments, managed security services, and security-related project work. Network connectivity, switching, routing, Wi-Fi, internet connectivity, cabling support, and IP video and telephony are handled through Netixite where required. General IT support, Microsoft 365 user support, device support, and workplace technology support are handled through Techixite where required. Cloud infrastructure, servers, backup infrastructure, virtualisation, and cloud migration are handled through Cloudixite where required.
3. Billing
3.1. Managed Services Billing and Cancellation
Managed services are billed monthly and payable upfront according to the selected subscription plan. The monthly fee is based on the selected plan and the approved users, devices, mailboxes, mobiles, servers, sites, switches, wireless access points, routers, connectivity devices, IP phones, extensions, and other covered services. If the customer adds or removes users, devices, sites, services, or other covered items, the monthly managed service fee may be adjusted. Approved service changes will usually apply from the next calendar month unless otherwise agreed in writing. All service changes will be confirmed before they are applied. Hardware, software, licences, subscriptions, carrier fees, internet provider fees, replacement equipment, cabling materials, project work, after-hours support, non-covered sites, and non-covered devices are quoted separately unless expressly included. Managed services require at least 30 calendar days’ written notice for cancellation unless another notice period is stated in a signed agreement. Once cancellation notice is received, the service will continue during the notice period. Any subscription fees due during the notice period remain payable. If the notice period extends into the next billing month, a final pro-rata invoice may be issued to cover the remaining days of service. Any outstanding fees, approved additional charges, hardware, software, licences, subscriptions, third-party charges, carrier charges, internet provider charges, onsite charges, project work, or other approved costs must be paid before the service is closed. Managed services may be subject to minimum monthly fees, minimum quantities, minimum users, minimum devices, minimum sites, minimum environments, or other minimum billing requirements stated in the applicable plan, quote, proposal, service schedule, website pricing, or written agreement. Where a minimum quantity applies, the customer agrees that billing may be calculated based on the minimum quantity even if the customer’s actual number of users, devices, mailboxes, sites, environments, or covered services is lower than that minimum.
3.2. Ecommerce, Orders and Payments
ARLI GEEKS may allow customers to order selected hardware, software, licences, subscriptions, and related services online through Compixite or other service areas. When you place an order, you are making an offer to purchase the products or services described. We may accept or decline your order at our discretion, including if stock is unavailable, pricing is clearly incorrect, payment fails, supplier pricing changes, there is a risk of fraud or misuse, or the order cannot reasonably be fulfilled. Prices are shown in Australian dollars unless stated otherwise and may change before an order is accepted. Taxes, GST, shipping, payment processing fees, card surcharges, delivery fees, and other charges may be shown or explained during checkout or quoting. Payment methods, shipping options, delivery estimates, returns, cancellations, and change-of-mind options may be explained during the order process or in a separate policy. For physical goods, risk generally passes to the customer on delivery to the address provided, to the extent permitted by law. For software and subscriptions, licences are subject to the terms of the relevant vendor. The customer receives a right to use the software or subscription, not ownership of the underlying intellectual property.
3.3. Prices, Fees and GST
Prices are shown in Australian dollars unless stated otherwise. Unless stated otherwise, prices are exclusive of GST. Fixed service fees are fixed labour fees for the listed service duration and are not hourly rates. Where a service takes longer than initially estimated, the final labour fee may be calculated using the next applicable service duration shown in the relevant pricing table, applied on a pro-rata basis where stated. Hardware, software, licences, subscriptions, third-party services, carrier fees, onsite materials, parts, accessories, cabling materials, travel, parking, tolls, accommodation, after-hours work, and other out-of-pocket costs are excluded unless expressly included in the quote or service plan.
3.4. Refunds, Credits and Cancellations
Refunds, credits, repairs, replacements, or service remedies will be handled in accordance with the Australian Consumer Law and any other laws that apply. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, refund right, repair right, replacement right, cancellation right, or other protection that cannot legally be excluded. For service bookings, deposits, upfront payments, RemoteFix-Quick fees, OnsiteFix bookings, project deposits, milestone payments, and managed service subscriptions, refunds are not provided for change of mind, incorrect booking, customer delay, unavailable access, missed appointments, or cancellation after work has started, except where required by law. Where a paid service has not yet started, ARLI GEEKS may, at its discretion and subject to any costs already incurred, offer a refund, credit, reschedule, or alternative service. Where work has already started, the customer remains responsible for any completed work, time spent, reserved booking time, preparation, onsite attendance, travel, approved charges, third-party costs, hardware, software, licences, subscriptions, and other costs incurred. RemoteFix-Quick is a paid initial triage service and is generally non-refundable once the triage has started. If the customer proceeds with a recommended longer RemoteFix or OnsiteFix service, the RemoteFix-Quick fee may be credited towards the final payable labour fee where applicable. For managed services, prepaid subscription fees are generally non-refundable once the billing period has started, except where required by law or agreed in writing. To the maximum extent permitted by law, ARLI GEEKS is not liable for any loss, damage, error, incorrect decision, business interruption, reputation issue, data issue, or other consequence arising from the customer’s use of, or reliance on, Ai-generated outputs, Automation workflows, third-party Ai platforms, or Automated decision-making processes, except to the extent caused by ARLI GEEKS’ proven negligence, wilful misconduct, or breach of applicable law.
4.6. Webixite
4.6.1. Website, Ecommerce and Marketing Services
Website, ecommerce, SEO, advertising, marketing, and lead generation services may depend on third-party platforms, search engines, advertising platforms, hosting providers, domain providers, payment gateways, plugins, themes, APIs, customer content, customer approvals, market conditions, and user behaviour. ARLI GEEKS does not guarantee search engine ranking, advertising approval, lead volume, sales volume, conversion rate, website traffic, platform approval, campaign performance, or business results unless expressly stated in a written agreement. The customer is responsible for reviewing and approving website content, product information, pricing, marketing claims, advertising content, legal notices, privacy notices, cookie notices, refund wording, and other public-facing material before publication.
4.7. Project Work
Project work is used for planned work with a defined scope, outcome, or deliverable. Project work covers all ARLI GEEKS service areas, including but not limited to IT projects, network projects, cybersecurity projects, cloud and infrastructure projects, AI and automation projects, application projects, ecommerce projects, website design and development, digital marketing and lead generation, migrations, deployments, upgrades, implementation work, configuration, integration, documentation, and handover. Project pricing is based on the type of work, project size, scope, complexity, required deliverables, dependencies, risks, required expertise, and expected delivery timeframe. For smaller, clearly defined project tasks, fixed project blocks may be available. Larger projects that require more than one day, such as multi-day, weekly, or monthly projects, will be assessed and quoted separately. A project quote only includes the work specifically listed in the approved quote, proposal, or scope of work. Any work not listed is excluded unless agreed in writing. Project work may require assessment, planning, scoping, preparation, implementation, testing, documentation, and handover. Depending on the project, the quote may be provided as a fixed project fee, staged milestone pricing, fixed project block, or scheduled delivery plan. Where fixed project blocks are offered, they are fixed labour fees for the listed project duration and are not hourly rates. Longer project blocks may include built-in discounted pricing. Unless clearly stated in the approved quote, project labour fees include labour only and do not include hardware, software, licences, subscriptions, cloud services, third-party services, parts, accessories, cabling, materials, travel costs, parking, tolls, accommodation, after-hours work, or onsite expenses.
4.7.1. Project Approval and Variations
Project work will only begin once the customer has approved the quote, proposal, scope of work, invoice, or written request to proceed. Approval may be provided by email, written confirmation, signed acceptance, online approval, deposit payment, invoice payment, or another method accepted by ARLI GEEKS. Once approved, the agreed project fee applies to the approved scope of work. If the customer changes the scope, adds new requirements, increases the number of users, devices, locations, systems, applications, integrations, or requests extra work outside the approved scope, a variation may be required. Where a variation is required, ARLI GEEKS may provide a variation quote or written variation request for approval before the additional work continues. Additional work outside the approved scope is not included in the original project fee. Where applicable, project work may include testing, verification, documentation, and handover. A project will be considered complete when the agreed deliverables have been provided, implemented, configured, handed over, or made available to the customer. The customer must review completed work within any agreed review period or, if no review period is stated, within a reasonable time, and notify ARLI GEEKS of any issues related to the approved scope. Requests for additional features, changes, new work, or items outside the approved scope may be treated as a variation or a new project. Unless clearly included in the approved project scope, ongoing support after project completion is not included in the project fee. Post-project support may be provided through on-demand services, managed services, a support retainer, or a new project quote. Issues caused by customer changes, third-party changes, software updates, vendor changes, licence changes, user error, or systems outside the approved scope are not included unless agreed in writing.
4.7.2. Project Deposits, Milestones and Payments
A deposit, upfront payment, or milestone payment may be required before project work begins. For larger projects, payments may be split across stages or milestones. Invoices must be paid by the due date shown on the invoice. ARLI GEEKS may pause, delay, suspend, or stop project work if deposits, invoices, milestone payments, approved charges, or outstanding balances are overdue or cannot be processed. If a project is cancelled, paused, or delayed by the customer, the customer remains responsible for work already completed, time allocated, preparation completed, approved costs, third-party charges, licences, subscriptions, hardware, software, and other committed costs. The customer must provide reasonable notice if they need to cancel or reschedule project work. Cancellation or rescheduling fees may apply where work has already been scheduled, resources have been allocated, preparation work has been completed, travel has been arranged, or third-party services have been ordered. Deposits, upfront payments, and milestone payments may be non-refundable to the extent they cover work already performed, costs incurred, third-party charges, preparation, or reserved project time.
